Platform Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Contract Mama ("the Platform"), you ("Brand," "you," or "your") agree to be bound by these Platform Terms of Service ("Terms"). If you are using the Platform on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Platform.

2. Description of Service

Contract Mama provides a technology-facilitated service that:

• Reads email threads between brands and creators to extract deal terms
• Generates contract exhibits based on those extracted terms
• Provides a master agreement template for brands that elect to use it
• Delivers contracts for electronic signature via third-party e-signature providers
• Tracks contract status through a web dashboard

The Platform is a facilitation tool. Contract Mama does not negotiate, interpret, or enforce contracts. We are not a party to any agreement between you and any creator.

3. No Legal Advice

Contract Mama is not a law firm and does not provide legal advice. The Platform uses artificial intelligence to generate contract language based on information extracted from your email threads and standard templates. This output is not a substitute for professional legal counsel.

You acknowledge and agree that:

• AI-generated contract language may contain errors, omissions, or inaccuracies
• You are solely responsible for reviewing all contract terms before confirming delivery
• You should consult with a qualified attorney before relying on any contract
• Contract Mama's "nudges" and suggestions are informational only and do not constitute legal guidance
• No attorney-client relationship exists between you and Contract Mama

4. Your Responsibilities

When using the Platform, you agree to:

• Review before sending. You will carefully review every contract exhibit before replying CONFIRM. Once confirmed, contracts are sent to creators for signature. This action cannot be undone.
• Provide accurate information. Contract terms are extracted from your email threads. You are responsible for the accuracy of information in those threads.
• Comply with applicable law. You are responsible for ensuring that your contracts comply with all applicable laws, regulations, and industry standards, including FTC guidelines for sponsored content.
• Maintain account security. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• Respect creator relationships. You will not use the Platform to send fraudulent, harassing, or deceptive contracts to creators.

5. Master Agreement Template

Contract Mama provides an optional master agreement template ("Default Template") that brands may elect to use. You may alternatively provide your own master agreement by uploading a SignWell template.

If you elect to use the Default Template:

• The Default Template is provided as a convenience and starting point. It is not tailored to your specific legal needs.
• You assume full responsibility for the legal sufficiency and enforceability of contracts sent using the Default Template.
• Contract Mama makes no warranty that the Default Template complies with the laws of your jurisdiction or industry.

If you provide your own master agreement:

• You are solely responsible for the content, legality, and enforceability of your custom agreement.
• Contract Mama bears no responsibility for the terms of your custom agreement or any disputes arising from its use.

6. Data and Privacy

To provide the service, Contract Mama processes email content that you share with us by CC'ing our address. We use this content solely to generate contracts on your behalf.

• Email content is processed by AI systems to extract deal terms
• Contract data is stored securely and associated with your brand account
• We do not sell your data to third parties
• We share contract data with e-signature providers solely to facilitate signing

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• CONTRACT MAMA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO CONTRACT MAMA DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
• CONTRACT MAMA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DEALS, LEGAL FEES, OR DAMAGES ARISING FROM CONTRACT DISPUTES BETWEEN YOU AND CREATORS.
• CONTRACT MAMA SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTRACT LANGUAGE WITHOUT INDEPENDENT LEGAL REVIEW.

8. Indemnification

You agree to indemnify, defend, and hold harmless Contract Mama and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Contracts created, sent, or executed through the Platform
• Disputes between you and any creator
• Your breach of these Terms
• Your violation of any applicable law or regulation

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Contract Mama does not warrant that:

• AI-generated contract language will be accurate, complete, or legally sufficient
• The Platform will be available without interruption
• Contracts will be enforceable in any particular jurisdiction
• The Default Template will meet your specific legal needs

10. Term and Termination

These Terms remain in effect as long as you maintain an account on the Platform. Either party may terminate at any time. Upon termination, your access to the Platform will cease, but your existing contracts remain in effect between you and your creators independent of the Platform.

11. Modifications

We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
